目前美国有两大场外挂牌平台，即OTC Market Group和OTCBB。因为实力问题，后者逐渐没落。目前在美国场外市场交易的股票有一万余只，基本集中在前者。在OTC Market挂牌的企业按照监管严格程度以及信息披露的要求，从高到低分为OTCQX、OTCQB和OTCPink（粉单）。OTCQX标准最高，挂牌企业需要向SEC注册，有一定的财务要求，且必须定时公开财报，目前约有不到500家企业交易。OTCQB则不设财务门槛，面向小型新创公司，类似于场外市场中的创业板，约有900家企业。超过9000家企业在粉单市场挂牌，这些企业不需向SEC注册，不用符合《1934 年证券交易法》规定，不必披露财报，也没有业绩要求。粉单因为门槛低，所以挂牌企业质量鱼龙混杂，与在纽交所和纳斯达克挂牌上市的企业不可同日而语。另外，个人投资者不能通过场外交易自由买卖挂牌企业的股票，必须通过证券公司进行柜台交易。 Source: 答读者问: 美国粉单市场是什么？|场外交易|纽交所|中芯国际新浪科技新浪网
